Welcome to Biz Vault Inc. (“Biz Vault,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, [www.bizvault.ca] (the “Site”), and the services we provide, including but not limited to Business Representation, Strategic Advisory, Franchise Consulting, and Canadian Market Entry services (collectively, the “Services”).
By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Site or Services.
1. Our Services
Biz Vault provides business consulting, market entry advisory, and representation services for international entrepreneurs and organizations seeking to establish a presence in Canada.
No Legal or Financial Advice: The information provided on our Site and through our Services is for informational and consulting purposes only. Biz Vault is not a law firm or a financial advisory firm. The content we provide does not constitute legal, financial, tax, or investment advice. You must consult with your own qualified legal, financial, and accounting professionals before making any business decisions.
No Guarantees: All business ventures involve risk. We do not make any guarantees, representations, or warranties regarding the success, profitability, or outcome of your business ventures in Canada. Any case studies, examples, or “Scenarios We Solve” presented on our Site are for illustrative purposes only and do not represent a guarantee of future results.
2. Use of the Site
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal and internal business purposes.
You agree not to:

The use of our paid Services (Business Representation, Strategic Advisory, etc.) is governed by a separate client service agreement. That agreement will outline the specific scope of services, fees, confidentiality, and other terms of the engagement. These Terms and Conditions will be considered supplementary to any formal client agreement.
5. Third-Party Links
Our Site may contain links to third-party websites (such as LinkedIn) or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Biz Vault Inc., its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- (a) your access to or use of, or inability to access or use, the Site or Services;
- (b) any information or advice provided by us (you are responsible for independently verifying all information);
- (c) any unauthorized access to or use of our servers and/or any personal information stored therein.
Our total liability to you for any and all claims arising from the use of our Site is limited to the greater of (a) $100 CAD or (b) the amount you have paid us, if any, for our Services in the last six months.

You agree to indemnify, defend, and hold harmless Biz Vault Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by arbitration administered in Toronto, Ontario, by a single arbitrator in accordance with the simplified arbitration rules of the jurisdiction.
9. Changes to Terms
We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the “Last Updated” date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
